Our client is a corporate services provider and they are seeking a Legal Advisor to oversee all aspects of the legal affairs and support our client’s operations across the Middle East region, including UAE, Qatar, Bahrain, Oman and KSA. Degree educated or a higher law certification in law. Minimum 3 years’ in-house legal work experience in UAE with 1 year’ related wider GCC work experience This job may include occasional travel within the region to support business operations, attend meetings, and coordinate work with staff or legal authorities on the ground. Description:
- Drafting, reviewing, negotiating all contract and legal documentation (Memorandum of Association, Amendment to the Memorandum of Association, National Service Agent Agreement, Shareholders’ Agreement, Service Agreements, Power of Attorney, Shareholders’ and Board Resolution, Non-Disclosure Agreements, Introducers Agreements, policies and procedures, commercial agreements, etc); ensuring compliance with local laws
- Cooperating on a regular basis with local Business Development, Corporate Structuring and Operations Teams on clients’ matters
- Maintain legal document templates database across region.
- Checking corporate documents (Articles of Association, Board Resolutions, etc.) of companies based in multiple foreign jurisdictions
- Performing legal research and providing sound legal advice and support on a wide range of corporate governance, commercial, regulatory, data protection and corporate compliance matters across the Middle East offices as well as for the Group; ensuring the localization of legal advice
- Advising business units on legal rights, obligations, and risks related to transactions and operations
- Overlooking statutory legal and governance requirements for local entities
- Assisting Legal Director with monitoring and interpreting legislative and regulatory developments across multiple Middle East jurisdictions and advising stakeholders accordingly
- Pro-actively assessing and managing risks related to the corporate structure, shareholders, jurisdictions
- Acting as Corporate Secretary at the Annual General Meetings of the Company; taking and drafting minutes
- Liaising with various lawyers and in-house counsels/advisors and negotiating contracts
- Working cooperatively with the Business Development team in order to provide the client with the most suitable corporate documentation in a timely manner
- Working closely with the PROs in order to understand what the public notaries and the official authorities find acceptable in terms of clauses in various agreements

- Supporting the business in ensuring compliance with local legal requirements; assisting with corporate governance and ensuring compliance with onshore and offshore regulations, including amongst others DIFC or ADGM, where applicable
- Supporting cross-border transactions and regional partnerships between offices
- Collaborating with internal teams to manage legal risk, strengthen governance, and support corporate compliance programs regionally
- Assist the Legal Director with dispute resolution, including arbitration and litigation, in different countries as needed; tracking litigation, contract status, or legal compliance / data protection issues across countries
- Regularly reporting legal exposure to senior management and assist with risk mitigation tools and strategies
- Deliver legal training and workshops to staff across countries (online and/or physically on the ground)
Criteria:
- Degree or higher certification in law
- Minimum 3 years’ in-house legal work experience in UAE with 1 year’ related wider GCC work experience
- Strong understanding of legal systems in the UAE, KSA, Qatar, Bahrain, Oman
- Proficient in English language, written and verbal
- IT competency (Microsoft office), effective communicator
